Özet
6502 sayılı Tüketicinin Korunması Hakkında Kanun, tüketici sıfatına sahip kişilere ticari ve mesleki amaçlarla hareket eden kişilerle yaptığı tüketici işlemlerinde kıymetli evrak ile borçlanabilme imkânı sağlamaktadır. Bu doğrultuda, tüketicinin özel olarak korunmaya muhtaç bir süje olmasını gözeten kanun koyucu Türk Ticaret Kanunu hükümlerinden ayrı olarak tüketici hukukuna konu olan kıymetli evraklar için Tüketicin Korunması Hakkında Kanun ile özel hüküm getirmiştir. TKHK m. 4/5 uyarınca nama yazılı ve taksitli işlemler bakımından her bir taksit ödemesi için ayrı ayrı düzenlenmeyen kıymetli evrakın geçersiz olacağı hususunun kıymetli evrak hukukunda def’i türleri bakımından öğreti ve uygulamadaki tartışmalar temelinde incelenmesi gereklidir. Bununla birlikte tüketici işlemlerine konu olan söz konusu senetlerin düzenlenmesinde bir aykırılık bulunmasa da, tüketicinin senetten doğan ileri sürebileceği diğer def’iler de Türk Ticaret Kanunu hükümleri uyarınca inceleme konusu yapılacaktır.
Law No. 6502 on the Protection of Consumers allows consumers to borrow with negotiable instruments in consumer transactions with persons acting for commercial and professional purposes. Accordingly, the legislator, considering that the consumer is a subject in need of special protection, has introduced a special provision for negotiable instruments subject to consumer law with the Law on the Protection of Consumers, apart from the provisions of the Turkish Commercial Code. Pursuant to Article 4/5 of the TPL, it is necessary to examine the invalidity of negotiable instruments that are not issued separately for each installment payment for registered and installment transactions on the basis of the discussions in the doctrine and practice in terms of the types of defenses in the law of negotiable instruments. However, even if there is no contradiction in the issuance of the said promissory notes subject to consumer transactions, other defenses that the consumer may assert arising from the promissory note will also be subject to examination in accordance with the provisions of the Turkish Commercial Code.
